1. Acceptance of Terms
By signing up for LeadVault ("we," "our," "us") — a product operated by Baldwin Digital — you ("you," "Customer") agree to these Terms of Service ("Terms"). If you don't agree, don't use the service.
You also agree to our Privacy Policy and Refund Policy, which are incorporated by reference.
2. Description of Service
LeadVault is an AI-powered phone receptionist service. When a caller reaches a LeadVault phone number (either dialed directly or forwarded from your existing business line), an AI agent answers, captures information about the call, and produces a structured summary delivered to your inbox via web application and email.
3. Account Registration
You must be at least 18 years old and authorized to bind your business to these Terms. You're responsible for maintaining the confidentiality of your login credentials and for any activity under your account.
4. Subscription, Trial, and Payment
LeadVault is offered on a monthly subscription basis. New subscribers on Starter or Pro receive a 7-day free trial, after which the card on file is charged the monthly rate of the selected plan unless canceled before the trial ends. Business is paid from day one.
Payments are processed by Stripe. You authorize us, through Stripe, to charge your payment method on a recurring monthly basis at the applicable rate for the plan you selected. All fees are non-refundable except as described in the Refund Policy.
We may change pricing with at least 30 days' notice via email. Continued use after the effective date constitutes acceptance of new pricing.
5. Acceptable Use
You agree NOT to use LeadVault to:
- Violate any law or regulation (including telemarketing laws like the TCPA)
- Harass, threaten, defraud, or deceive callers
- Record calls in violation of applicable consent laws in your state
- Reverse-engineer, probe, or attempt to exploit the service
- Share your account with anyone outside your organization
- Use the service for non-business or personal purposes in ways that circumvent your plan's call limits
Calls handled by LeadVault use an AI agent. You're responsible for complying with any state-specific AI-disclosure requirements applicable to your industry and jurisdiction. We can configure an up-front disclosure in the AI's greeting if required; ask us.
6. Customer Data
"Customer Data" means the call transcripts, call recordings, contact information, and any other data collected by LeadVault on your behalf during calls to your LeadVault phone number. You own your Customer Data. We hold it in trust for you, scoped to your account, and use it only to operate the service and comply with these Terms.
We do not train AI models on Customer Data. We do not sell Customer Data. We don't share Customer Data with other customers.
7. Intellectual Property
The LeadVault software, branding, design, and documentation are owned by Baldwin Digital. You receive a limited, non-exclusive, non-transferable right to use the service during your subscription. No other rights are granted.
8. Third-Party Services
LeadVault relies on third-party services to function — including Vapi (voice AI), Twilio (telephony and SMS), Anthropic (LLM), Stripe (payments), Resend (email), and Supabase (database). Your use of LeadVault is subject to those providers' terms where applicable. We're not responsible for their outages or policy changes beyond taking reasonable commercial effort to restore service.
9. SMS Text Message Communications
LeadVault sends transactional SMS text messages to account owners who have opted in. By creating an account and providing a mobile number, you consent to receive text messages from LeadVault related to your account and your inbound calls.
What you will receive
After each inbound call handled by your AI receptionist, we may send a text summary (caller name when captured, caller phone number, and a short call description) to the mobile number on your LeadVault account. We may also send occasional service messages (for example, critical outage or security alerts). Messages are transactional — we do not use SMS for marketing or promotional content.
Consent and opt-out
Consent to receive SMS is not a condition of purchasing any product or service. You can cancel SMS at any time by replying STOP to any LeadVault message. For help, reply HELP or email [email protected]. To re-subscribe, reply START or re-enable SMS from your LeadVault account Settings.
Rates, frequency, and delivery
Message and data rates may apply. Message frequency varies and depends on your account's inbound call volume. Carriers are not liable for delayed or undelivered messages; delivery is subject to carrier availability and may be affected by factors outside our control.
Privacy of mobile number and consent
The mobile number you provide for SMS and the consent you give to receive messages are used only to deliver the messages described above. Mobile opt-in data and consent information are not shared with third parties or affiliates for marketing or promotional purposes. Full details are in our Privacy Policy.
10. Warranties and Disclaimers
LeadVault is provided "as is" and "as available." We make no warranty that the service will be uninterrupted, error-free, or that the AI will correctly classify or respond to every call. You acknowledge AI can make mistakes.
You should review call transcripts and summaries before acting on them. We disclaim all warranties to the fullest extent permitted by law — including merchantability, fitness for purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, our total liability to you for any claim arising from or relating to these Terms or the service is limited to the amount you paid us in the three (3) months immediately before the event giving rise to the claim.
We will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages — including lost profits, lost business, or missed leads — even if we've been advised of the possibility.
12. Termination
You can cancel any time from the billing page. Cancellation takes effect at the end of the current billing period; you retain service until then and no further charges are made.
We can suspend or terminate your account if you violate these Terms, abuse the service, chargeback a legitimate payment, or become insolvent. Upon termination, we'll provide a reasonable window (at least 14 days) for you to export your Customer Data before it's deleted.
13. Modifications to Terms
We may update these Terms. Material changes will be announced via email to the address on your account, with at least 14 days' notice. Continued use after the effective date constitutes acceptance.
14. Governing Law & Disputes
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms will be resolved in the state or federal courts located in Charleston County, South Carolina, and you consent to that venue.
